This Offering Description describes Anaconda.org (hereinafter “Anaconda.org”). Your use of Anaconda.org is governed by this Offering Description, and the Anaconda Terms of Service (the “Terms”, available at www.anaconda.com/legal/terms/terms-of-service), collectively the “Agreement” between you (“You”) and Anaconda, Inc. (“We” or “Anaconda”). In the event of a conflict, the order of precedence is as follows: 1) this Offering Description and 2) the Terms. Capitalized terms used in this Offering Description and/or the Order not otherwise defined herein, have the meaning given to them in the Terms. Anaconda may, at any time, terminate this Agreement and the license granted hereunder if you fail to comply with any term of this Agreement. Anaconda reserves all rights not expressly granted to you in this Agreement.
These Anaconda.org terms are between you and Anaconda, Inc. (“Anaconda”). By accessing or using Anaconda.org, you agree to this Offering Description on behalf of yourself or, if applicable, your employer or another entity. If you accept this Offering Description using a work or organizational email address, or otherwise on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Offering Description. In that case, “you” or “your” means that entity and its Users.
By using Anaconda.org, you confirm that you’ve read, understood, and agreed to this Offering Description. If you don’t agree, do not use Anaconda.org.
1. Relationship To Anaconda Platform Terms
How this Offering Description relates to the Anaconda Platform Terms of Service.
- Supplemental Terms. This Offering Description governs your use of Anaconda.org specifically. Your use of Anaconda.org is also subject to the Anaconda Platform Terms of Service available at anaconda.com/legal, Anaconda’s Acceptable Use Policy, and other applicable policies, which may be updated from time to time.
- Precedence. In the event of any conflict between this Offering Description and the Anaconda Platform Terms of Service, this Offering Description will control with respect to your use of Anaconda.org.
2. Anaconda Channels vs. Community Channels
Important distinctions between Anaconda-maintained and community-provided content.
- Anaconda Channels. Some content on Anaconda.org, such as packages and channels, are maintained by Anaconda (such as /main). These are identified as Anaconda-maintained or Anaconda-provided packages and channels.
- Licensing and Payment Requirements. The licensing restrictions and payment requirements in the Anaconda Platform Terms of Service apply only to the Anaconda-maintained channels and packages. They do not apply to community-provided channels or third-party channels.
- Community Channels. Community-provided channels and third-party channels are not subject to the licensing restrictions and payment requirements outlined in Section 1 (WHEN YOU CAN USE THE PLATFORM FOR FREE) of the Anaconda Platform Terms of Service.
3. License Grant
What you can and cannot do with Anaconda.org.
- License. Subject to this Offering Description and the Terms, Anaconda hereby grants to you a nonexclusive, nontransferable, revocable right and license for you to access and use Anaconda.org in accordance with this Agreement. The License is restricted to use by you and does not include the right to use Anaconda Technology on behalf of any third-party. All rights not expressly granted to you herein are reserved by Anaconda and its licensors. There are no implied rights.
- Restrictions. You may not use, resell, or commercially exploit Anaconda.org without Anaconda’s prior written consent. You may not (and may not allow others to) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Anaconda.org, or use it to build a competing product or service, or to copy its features or functionality. Except as expressly permitted in this Agreement, you may not copy, license, sell, transfer, lease, distribute, or otherwise make Anaconda.org or any Anaconda intellectual property available to third parties. Anaconda may suspend or terminate your access to Anaconda.org at any time if you violate these restrictions.
4. Third Party Content
Anaconda’s relationship to third-party content on Anaconda.org.
- Third Party Content Disclaimer. Anaconda.org may include, display, link to, or make available content, code, packages, data, or other materials that originate from third parties (“Third Party Content”), including community-uploaded packages and environments. Anaconda provides access to such content solely as a convenience and does not control, review, verify, or endorse any Third Party Content. Your use of Third Party Content is at your sole discretion and risk. Anaconda expressly disclaims all responsibility and liability for any Third Party Content, including without limitation its accuracy, security, completeness, legality, quality, functionality, or safety.
- Third Party Content Licensing. Your use of any Third-Party Content made available through Anaconda is subject to the terms of its respective license. Anaconda will provide the applicable license(s) known to Anaconda for the Third Party Content it makes available to you. Anaconda provides links to, or the content of, the applicable license terms that are relevant for Third Party Content within Anaconda.org. In the event of any conflict between a Third-Party Content’s applicable license terms and any description or license information provided by Anaconda, the terms of the applicable Third-Party Content’s license will take precedence. ANACONDA DOES NOT MODIFY, ALTER, OR OVERRIDE THE TERMS OF ANY THIRD-PARTY CONTENT’S LICENSE AND PROVIDES SUCH THIRD PARTY CONTENT ON AN AS-IS BASIS, WITHOUT WARRANTIES OR GUARANTEES BEYOND THOSE EXPRESSLY STATED IN THEIR RESPECTIVE LICENSES.
- Content Removal. Anaconda may remove Third Party Content at any time without notice to you.
5. Your Content And Responsibilities
Your rights and responsibilities regarding content you upload to Anaconda.org.
- Public Sharing. If you make your content publicly available, you grant Anaconda and other users a worldwide, non-exclusive, royalty-free license to use, share, and modify that content.
- Your Materials. You own all materials you upload (“Your Materials”) and you grant Anaconda a limited, non-exclusive, royalty-free license to use them to provide Anaconda.org. You are responsible for providing, updating, and maintaining your Materials.
- Compliance. You are responsible for everything you upload to Anaconda.org, including compliance with all laws and Anaconda’s Acceptable Use Policy.
- Account & Users. You are responsible for your actions and those of anyone who accesses Anaconda.org using your credentials. You must keep your passwords secure and take all reasonable measures to ensure compliance with these Terms.
- Uploads. You shall not upload anything that: (1) Violates laws or third-party rights; (2) contains harmful code; (3) disrupts the platform; or (4) otherwise violates Anaconda’s Acceptable Use Policy.
- Content Review & Removal. Anaconda may (but is not obligated to) review or remove content that violates these Terms.
6. Anaconda’s Intellectual Property
Ownership of Anaconda.org and related intellectual property.
Anaconda operates and supports Anaconda.org, including its underlying technology, infrastructure, software, documentation, and other materials provided under these Terms (“Anaconda Technology”). This includes proprietary tools, designs, processes, algorithms, and other technical or informational assets. You acknowledge that all rights, title, and interest in the Anaconda Technology, and any related intellectual property (including patents, copyrights, trade secrets, and trademarks) belong solely to Anaconda or its licensors. This Agreement does not grant you any rights to the Anaconda Technology or Anaconda.org beyond the limited license provided.
7. No Warranty And Limited Liability
Limitations on Anaconda’s responsibility for Anaconda.org.
- “AS-IS”; NO WARRANTY. ANACONDA.ORG IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ANACONDA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ANACONDA MAKES NO WARRANTY THAT ANACONDA.ORG OR ANY CONTENT AVAILABLE THROUGH IT WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, OR FREE FROM VIRUSES.
- Limitation of Liability. To the fullest extent permitted under applicable law, Anaconda and its respective directors, officers, employees, partners, affiliates, and agents disclaim all liability for any damages or losses of any kind arising out of or relating to your use of, or inability to use, Anaconda.org. This includes, but is not limited to, direct, indirect, incidental, consequential, punitive, or special damages, even if Anaconda has been advised of the possibility of such damages. Anaconda’s total liability for all claims related to these Terms is limited to $100, regardless of the legal theory.
- No Support. Anaconda has no obligation or responsibility to provide you with any support, maintenance, troubleshooting, or other assistance in connection with Anaconda.org unless you have purchased a support plan that specifically includes Anaconda.org. You use the platform solely at your own discretion and risk.
8. Data And Privacy
How Anaconda handles your data on Anaconda.org.
Data you provide through Anaconda.org is stored, collected, or processed according to Anaconda’s Privacy Notice available at anaconda.com/legal.
9. Indemnification
Your responsibility to protect Anaconda from claims related to your use of Anaconda.org.
You agree to indemnify, defend, and hold harmless Anaconda, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your use of Anaconda.org or your violation of this Offering Description.
10. Termination
How and when these Terms may end.
Anaconda may terminate or suspend your access to Anaconda.org if you violate these Terms, or for any reason, at Anaconda’s sole discretion. Upon termination, you must cease all use of Anaconda.org.
11. General Provisions
Additional legal terms that apply to this Offering Description.
- Terms Changes. Anaconda reserves the right to modify or discontinue Anaconda.org at any time, with or without notice, and with no liability to you or any third party. This Offering Description may also be updated or revised by Anaconda at any time, and any changes will be effective upon posting.
- Compliance. You agree to comply with all applicable laws and regulations, including export control laws, when using content from Anaconda.org.
